It is made by an offeror to an offeree and is capable of acceptance only by an offeree who knows of its existence. The law of contract is accordingly the body of principles relative to those kinds of agreements which are intended to, and do, create binding and enforceable bilateral obligations, conferring rights in personam on each party and which are therefore legally contracts.

In English law, a promise is not, as a general rule, binding as a contract unless it is either made under seal or supported by some "consideration". The purpose of the doctrine of consideration is to put some legal limit on the enforceability of agreements even where they are intended to be legally binding and are not vitiated by some factor such as mistake, misrepresentation, duress or illegality.... The present position therefore is that English law limits the enforceability of agreements not under seal by reference to a complex and multifarious body of rules known as "the doctrine of consideration. "(Chitty on Contracts, 26th ed., 1989, Vol I, pp. 105-106).

A call-off contract is used for the supply of a specific quantity (a minimum and maximum range can be given) of goods or services over a given time period, subject to the prices, specifications and terms and conditions agree. Delivery will be made either to a delivery schedule built into the call-off contract, or more usually by separate call-off orders placed against the contract.
