An invitation to treat is a mere declaration of willingness to enter into negotiations; it is not an offer, and cannot be accepted so as to form a binding contract. In practice, the formation of a contract is frequently preceded by preliminary negotiations. Some of the exchanges in these negotiations contain no declaration at all, as where one party simply asks for information. Others may amount to invitations to the recipient to make an offer, these being invitations to treat.(9 Hals., 4th ed., p. 98) 2, record 4, English, - invitation%20to%20treat

A contract of option is one whereby the grantor of the option offers to enter into what may be called a "major" contract with a second person and makes a separate contract to keep his offer open. Usually, but not necessarily, the person to whom the grantor of the option binds himself to keep the offer open is that second person, who may be conveniently referred to as "the option-holder".(9 Hals., 4th ed., p. 106) 1, record 17, English, - option%2Dholder
