Type of passive contract which the buyer of a software is deemed to accept by the fact of opening its shrinkwrapped package. This license usually includes terms that(1) prohibit making unauthorized copies,(2) prohibit any modification,(3) prohibit resale,(4) limit use to one or a specified number of computers,(5) limit publisher's liability.

Shrink-wrap license.- In the computer industry the terms of the software license are usually printed clearly on a sticky seal or are readable on the box, which is covered with a “shrink-wrap” film. Within the box are the disks and manuals and there is usually a notice that says that if you need to return the software the packages must be unopened with the shrink-wrap intact and that software with broken seals will not be reed.

OBS

The term "shrink-wrap" derives from the fact that such agreements used to be included on the outside of the software packaging, visible through the clear plastic shrink-wrap with which the package was sealed.

There exists a number of situations in which the barter of patent rights is more advantageous to patentees than would be mutual royalty patents. Accordingly, one patentee may agree to licence another under one or more of his own patents in exchange for a license to use one or more patents owned by the other patentee. Such an arrangement is often referred to as cross-licensing. This type of bargain is most commonly struck where one party owns a patent whose claims dominate the claims of one or more patents held by the other. In such a situation, absent a license by each to the other, neither could the owner of the dominant patent make use of inventions covered by the claims of a subservient patent, nor could the owner of a subservient patent make use of the inventions covered by the claims of his own patents.

A nonexclusive license gives to a party the right to make and/or use and/or sell; however, the patent owner retains the right to practice the invention and to grant licences to any number of other parties. The nonexclusive license is merely an assurance that patent owner will not charge the licensee with infringement for any conduct that would otherwise be an infringement. If the patent owner does not sue others who are infringing the patent, the nonexclusive licensee has no right to enforce the patent against such infringers without the consent of the patent owner.

En pratique, la conclusion d'une telle licence non exclusive se produit le plus souvent lorsque le breveté réalise qu'il est plus avantageux pour lui d'accorder une telle licence à son concurrent que d'exploiter lui-même l'invention. Ordinairement, lors de la négociation d'un tel contrat, le licencié exige l'inclusion d'une clause dite la plus favorable par laquelle il est prévu que si le breveté accorde une licence plus avantageuse à un tiers, il aura alors droit de bénéficier des mêmes privilèges.
